1. Introduction

These Terms and Conditions ("Terms") govern the relationship between WorkShift ("we", "us", "our") and the client ("you", "your") who engages our digital operations services. By using our services, you agree to be bound by these Terms in their entirety. If you do not agree with any part of these Terms, you must not use our services. We reserve the right to update these Terms at any time, and continued use of our services following any changes constitutes acceptance of the revised Terms. Where we make material changes, we will notify you via email at least 14 days before the changes take effect.

2. Services Provided

WorkShift provides digital operations management services to businesses, which may include but are not limited to: website hosting and infrastructure management, content updates and search engine optimisation, analytics and performance reporting, Google Business Profile management, appointment and booking system integration, and administrative support. The specific services provided to you are determined by the subscription tier you select, as described on our website at the time of enrolment. We reserve the right to modify, improve, or discontinue any aspect of our services with reasonable notice. Any service modifications that materially reduce the scope of your selected tier will be communicated in advance, and you will have the option to cancel your subscription without penalty within 30 days of such notification.

3. Free Website Design

WorkShift provides a complimentary website design to prospective clients as part of our onboarding process. This website design is delivered as a compressed archive file (.tar.gz) containing all necessary files including HTML, CSS, JavaScript, images, and configuration files. Upon delivery, ownership of these files transfers to you in full. You are free to host, modify, distribute, or deploy these files as you see fit, without any licensing restrictions or attribution requirements. The free website design is provided without warranty as to its suitability for any particular purpose, though we make every effort to ensure professional quality. The design remains the intellectual property of WorkShift until ownership is transferred upon delivery, at which point you hold an unrestricted licence to use and modify the work.

4. Setup Fee

A one-time setup fee of £150 is charged to configure and deploy your website. This fee covers domain configuration (connecting an existing domain or assisting with the registration of a new one), SSL certificate installation, hosting environment provisioning, professional email configuration, initial performance optimisation, and basic SEO metadata configuration. The setup fee is non-refundable once work has commenced, which is defined as the point at which our team begins any configuration task on your behalf. Setup is typically completed within 3 to 5 working days, though this timeline may vary depending on the complexity of your requirements and the responsiveness of third-party domain registrars.

5. Subscription Tiers and Payment

Our services are offered on a monthly subscription basis across three tiers: Foundation (£99/month), Growth (£149/month), and Operations (£249/month). Subscription fees are payable in advance on the first of each calendar month, or on the anniversary date of your enrolment if different. Payment is collected via the method agreed upon during onboarding. We reserve the right to adjust subscription fees with 30 days' written notice. If a fee increase is introduced and you do not wish to continue at the new rate, you may cancel your subscription before the increase takes effect without penalty. Failure to pay subscription fees within 7 days of the due date may result in suspension of services, and continued non-payment beyond 30 days may result in termination of the agreement and removal of hosted content.

6. Cancellation and Termination

You may cancel your subscription at any time by providing 30 days' written notice via email to info@workshift.cloud. Upon cancellation, your subscription will remain active for the remainder of the notice period, after which all managed services will cease. You will retain full ownership of your website files and any content created during the subscription period. We will provide a final archive of all your files, content, and data within 14 days of subscription termination. WorkShift reserves the right to terminate this agreement immediately in cases of: material breach of these Terms, non-payment of fees beyond 30 days, abusive or unlawful use of our services, or behaviour that damages the reputation or interests of WorkShift. In the event of termination by WorkShift for cause, a pro-rata refund of any prepaid fees for the unused portion of the current billing period will be provided within 30 days.

7. Client Responsibilities

You are responsible for providing accurate and complete information during the onboarding process, including business details, branding assets, service descriptions, and any other materials necessary for the delivery of our services. You must ensure that all content you provide does not infringe upon the intellectual property rights of any third party and complies with all applicable laws and regulations. You are responsible for maintaining the security of any account credentials provided to you and must notify us immediately of any unauthorised access. Timely responses to our communications are expected; delays in providing requested information or approvals may impact delivery timelines. WorkShift shall not be held liable for any delays or deficiencies caused by the client's failure to fulfil these responsibilities.

8. Intellectual Property

All content, designs, code, and materials created by WorkShift as part of the subscription service remain the intellectual property of WorkShift unless explicitly transferred in writing. The complimentary website design delivered as part of onboarding is transferred to you upon delivery, granting you unrestricted ownership. Any proprietary tools, frameworks, systems, or methodologies developed by WorkShift and used in the delivery of services remain the exclusive property of WorkShift. You are granted a non-exclusive, non-transferable licence to use any WorkShift-owned materials for the duration of your subscription and for 90 days following termination, after which you must cease using such materials or negotiate continued use.

9. Limitation of Liability

WorkShift shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from the use of or inability to use our services, including but not limited to loss of revenue, loss of data, loss of business opportunities, or reputational damage. Our total aggregate liability for any claim arising from or related to these Terms shall not exceed the total fees paid by you to WorkShift in the 12 months preceding the event giving rise to the claim. We do not guarantee specific search engine rankings, traffic levels, lead volumes, or revenue outcomes. Our services are designed to support and improve your digital presence, but results depend on numerous external factors beyond our control, including market conditions, competition, and the quality of your products or services.

10. Indemnification

You agree to indemnify, defend, and hold harmless WorkShift, its directors, employees, and agents from and against any claims, demands, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from: your breach of these Terms; your use of the delivered website or services in a manner not authorised by these Terms; any content provided by you that infringes upon the rights of any third party; and any misrepresentation made by you regarding your business, products, or services. This indemnification obligation survives the termination or expiration of these Terms.

11. Data Protection

WorkShift processes personal data in accordance with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018. Our full data protection practices are outlined in our Privacy Policy, which forms an integral part of these Terms. By using our services, you acknowledge that you have read and understood our Privacy Policy. Where you provide us with personal data belonging to your customers or website visitors (such as through contact forms, booking systems, or analytics), you confirm that you have obtained any necessary consents and are entitled to share such data with us for the purposes of delivering our services.

12. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to: acts of God, natural disasters, war, terrorism, riots, civil unrest, government actions, pandemics, epidemics, power failures, internet outages, cyber attacks, or the failure of third-party service providers. In the event of a force majeure occurrence, the affected party shall notify the other party as soon as reasonably practicable and shall use reasonable efforts to mitigate the impact. If the force majeure event persists for more than 60 days, either party may terminate this agreement upon written notice without liability.

13. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation between the parties. If a dispute cannot be resolved within 30 days of one party providing written notice to the other, the dispute shall be referred to mediation administered by a recognised mediation service agreed upon by both parties. If mediation is unsuccessful, either party may bring proceedings in the courts of England and Wales, and both parties consent to the exclusive jurisdiction of those courts.
